Terms & Conditions of Supply

Welcome to European Research Chemicals. By accessing our website, creating an account, or submitting an order for reference compounds or analytical reagents, you (“Purchaser,” “Client,” or “User”) agree to be bound by these Terms & Conditions (“Terms”). Read them carefully before proceeding with any transaction.

1. Scope & Jurisdiction

1.1. These Terms govern all purchases, quotes, shipments, and interactions with European Research Chemicals within the European Union (EU) and European Economic Area (EEA).

1.2. All sales and agreements are executed under the laws of the European Union and the jurisdiction of our primary EU operating seat, without regard to conflict-of-law principles.

2. Strict Research & Laboratory-Use-Only Policy

MANDATORY LEGAL DISCLAIMER: All products supplied by European Research Chemicals are sold EXCLUSIVELY FOR IN-VITRO RESEARCH, ANALYTICAL TESTING, AND LABORATORY EXPERIMENTATION BY QUALIFIED PROFESSIONALS.

2.1. Strict Prohibitions: Products are NOT intended for human consumption, clinical trials, veterinary applications, agricultural use, household applications, or formulation into cosmetics, pharmaceuticals, or commercial products.

2.2. Account Termination: Any indication, explicit or implied, that a purchaser intends to use our compounds for human or animal application will result in immediate order cancellation, permanent account termination, and blacklisting across our platform.

2.3. Buyer Verification: We reserve the right to demand professional accreditation, university affiliation, corporate verification, or end-use declarations (EUD) prior to order processing.

3. Compliance with EU Regulations & REACH

3.1. REACH Adherence: All chemical distribution strictly adheres to EU REACH Regulation (EC) No 1907/2006 and its amendments.

3.2. Buyer Responsibility: It is the sole responsibility of the Purchaser to ensure that the importation, possession, and handling of ordered compounds comply with local national laws in their specific EU member state.

3.3. Restricted Materials: We do not supply controlled or scheduled substances. If a compound becomes scheduled under EU or local member-state law, sales to that jurisdiction will immediately cease.

4. Product Quality, Specifications & COAs

4.1. Purity Standards: We guarantee that compounds meet or exceed published specifications, typically verified at an average purity of 99.7%+ via HPLC and NMR spectroscopy.

4.2. Certificates of Analysis (COA): Batch-specific COAs are made accessible via our online portal. Reports reflect test parameters at time of packaging and cold storage dispatch.

4.3. No Warranty of Fitness: Except as explicitly set forth in batch analytical reports, products are provided “as-is” without warranty of fitness for a particular experimental outcome or non-infringement.

5. Ordering, Pricing & Payments

5.1. Pricing: All prices are quoted in Euros (€) and exclude VAT unless stated otherwise. Prices are subject to market adjustments without prior notice.

5.2. Order Acceptability: Submission of an order does not constitute binding acceptance. We retain absolute discretion to decline or cancel any order.

5.3. Payment Methods: Payments must be made via authorized channels (SEPA Wire Transfer, instant digital transfers, or corporate card). Payment must clear fully before order dispatch.

6. Storage, Packaging & Logistics

6.1. Dispatch: Orders are vacuum-sealed, discreetly packaged, and shipped from our climate-controlled EU distribution centers.

6.2. Duty-Free Shipping: Because shipments originate within the EU, orders delivered to EU member states do not undergo customs clearance or duty collection.

6.3. Risk of Loss: Risk of loss and title transfer to the Purchaser upon carrier scan at dispatch.

7. Handling Hazards & Buyer Indemnification

7.1. Hazard Awareness: Research chemicals may possess unknown toxicological properties. Purchasers warrant that their personnel are trained, qualified, and equipped with appropriate Personal Protective Equipment (PPE) and containment facilities (e.g., fume hoods).

7.2. Indemnification: The Purchaser agrees to defend, indemnify, and hold harmless European Research Chemicals, its directors, officers, and employees against any claims, losses, damages, liabilities, or legal fees resulting from:

Misuse, improper handling, or unauthorized application of supplied materials.
Violation of local member-state chemical regulations by the Purchaser.
Negligent storage or disposal of chemical compounds.

8. Returns, Cancellations & Claims

8.1. Perishable & Sealed Goods: Due to chemical stability requirements and cold-chain integrity, returns of opened or unsealed chemical containers are strictly prohibited.

8.2. Damaged or Non-Conforming Shipments: Claims regarding missing items or damaged packaging must be filed within 48 hours of delivery with photographic evidence.

8.3. Purity Disputes: If a customer disputes purity claims, an independent report from an accredited third-party lab (using matching HPLC/NMR parameters) must be submitted within 14 days for review.

9. Limitation of Liability

To the maximum extent permitted by applicable European law, European Research Chemicals shall not be liable for direct, indirect, incidental, consequential, or punitive damages arising out of the acquisition, handling, or use of any product, even if advised of the possibility of such damages.

10. Amendments

We reserve the right to revise these Terms at any time. Continued use of our site or placement of subsequent orders following updates constitutes full acceptance of the revised Terms.
